TERMS & CONDITIONS

1. IntroductionThese terms and conditions govern the relationship between Edgar Bobb (referred to as "the Freelancer" or "we") and the client (referred to as "the Client" or "you") for the provision of freelance services in Spain.2. Scope of ServicesThe scope of services is always based on a specific proposal or invoice, which is based on a dedicated project or time frame.3. PaymentPayment terms will be as agreed upon in the contract or project proposal. Invoices will be issued upon completion of the agreed-upon services or as otherwise specified. Payment is due within 7 days of receipt of the invoice unless otherwise agreed upon in writing.4. Intellectual PropertyUnless otherwise specified in the contract, all intellectual property rights arising from the provision of freelance services shall remain the property of the Freelancer until full payment has been received. Intellectual property rights will be transferred to the Client upon full payment as outlined in the contract.5. ConfidentialityBoth parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project. This includes but is not limited to business strategies, financial information, and trade secrets.6. LiabilityThe Freelancer shall not be liable for any damages, losses, or expenses incurred by the Client as a result of the services provided, including but not limited to:Loss of profits
Business interruption
Loss of business information or data
Any indirect, consequential, or incidental damagesThe Client agrees to indemnify and hold harmless the Freelancer from any claims, damages, or liabilities arising from the Client's use of the services provided.7. TerminationEither party may terminate the contract with written notice if the other party breaches any material term of the agreement. In the event of termination, the Client shall pay for any services provided up to the termination date.8. Dispute ResolutionAny disputes arising from or relating to this agreement shall be resolved through negotiation in good faith. If a resolution cannot be reached, the parties agree to pursue mediation or arbitration under the laws of Spain.9. Governing LawThese terms and conditions shall be governed by and construed by the laws of Spain. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Spain.10. AmendmentsThe Freelancer may amend or modify These terms and conditions at any time. Any amendments shall be communicated to the Client in writing and shall be effective upon acceptance by both parties.By engaging the services of the Freelancer, the Client acknowledges that they have read, understood, and agree to be bound by these terms and conditions.
